Contractor shall indemnify, hold harmless and upon request, defend HomePros and its members, managers, officers, directors, shareholders, employees, representatives, agents, successors, and assigns, jointly and severally, from and against any and all costs, losses, claims, liabilities, fines, lawsuits, proceedings, penalties, and damages (consequential, incidental, direct and indirect) and expenses (including reasonable legal fees) which may be sustained, suffered or incurred by any of them arising out of or related to (i) the services provided by you to the customers; (ii) any inaccuracy of any information provided by you to HomePros and/or (iii) the lapse of any license, insurance and bond.
